Terms of Service

These Terms of Service ("Terms") govern your access to and use of Zone ("Zone by Zonster," the "Service"), operated by Zonster LLC, a Wyoming limited liability company ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Zone (Zone by Zonster) is a software-as-a-service (SaaS) platform developed and operated by Zonster LLC that provides Amazon sellers with advertising analytics, PPC campaign management, profit and loss reporting, inventory tracking, and related tools. The Service integrates with Amazon's Selling Partner API (SP-API) and Amazon Advertising API to retrieve and display your seller data.

2. Eligibility

You must be at least 18 years old and have a valid Amazon Seller Central account to use Zonster. By using the Service, you represent that you meet these requirements and that all information you provide is accurate and complete.

3. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

4. Amazon API Authorization

To use core features of Zone, you must authorize Zonster LLC to access your Amazon seller data via OAuth. By granting this authorization:

• You permit Zone to access your Amazon advertising and seller data as described in our Privacy Policy
• You confirm you have the authority to grant this access
• You may revoke this authorization at any time through Amazon Seller Central
• You understand that revoking authorization will limit Zone's functionality

Zonster LLC's use of Amazon data is governed by Amazon's Developer Agreement. We do not use your Amazon data for any purpose beyond providing the Service to you.

5. Subscription & Payment

Zone is offered on a subscription basis. By subscribing, you agree to pay the applicable fees for your chosen plan. Fees are:

• Billed in advance on a monthly or annual basis
• Non-refundable except as required by applicable law
• Subject to change with 30 days advance notice

Failure to pay may result in suspension or termination of your account. All prices are in USD unless otherwise stated.

6. Acceptable Use

You agree not to use Zone to:

• Violate any applicable law or regulation
• Violate Amazon's Terms of Service or Developer Agreement
• Attempt to gain unauthorized access to any system or network
• Reverse engineer, decompile, or disassemble the Service
• Resell or redistribute the Service without written permission
• Use the Service to harm, defraud, or deceive others
• Transmit malicious code or interfere with the Service's operation
• Scrape or extract data from the Service beyond normal use

7. Automated Actions & Bid Management

Zone may execute automated actions on your Amazon advertising account, including bid adjustments, campaign status changes, and dayparting schedules, based on rules you configure. You acknowledge that:

• You are solely responsible for reviewing and approving any automated rules
• Zonster LLC is not liable for advertising spend or outcomes resulting from automated rules you have configured
• You should monitor your campaigns regularly
• Automated actions operate within the permissions granted by your Amazon authorization

8. Intellectual Property

The Zone platform (Zone by Zonster), including its design, code, features, and content, is owned by Zonster LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period. You retain ownership of your data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT GUARANTEE ANY SPECIFIC BUSINESS OUTCOMES, SALES RESULTS, OR ADVERTISING PERFORMANCE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONSTER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZONSTER LLC FOR THE ZONE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Zonster LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you violate these Terms or Amazon's policies. Upon termination, your right to access the Service ceases and we will handle your data as described in our Privacy Policy.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Wyoming.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
